These terms apply to every service Seven Branded provides. Please read them carefully: by accepting a quote or paying a deposit, you agree to them.
1. About us and these terms
1.1 Seven Branded is a trading name of Seven Branded Limited, a company registered in England and Wales under company number 15767150, with its registered office at 3 Foxglove Close, Wednesfield, Wolverhampton, WV11 3UE. In these terms, “we”, “us” and “our” mean Seven Branded.
1.2 “You” and “your” mean the person or business buying our services. “Services” means the work described in your quote or proposal. “Deliverables” means anything we produce for you as part of the Services.
1.3 You can contact us at [email protected] or on 01902 239 470.
1.4 If anything in your quote or proposal conflicts with these terms, the quote or proposal wins for that project.
2. Acceptance
2.1 You don’t need to sign these terms for them to apply. Accepting a quote in writing (including by email), paying a deposit or asking us to start work all count as accepting these terms in full.
2.2 Once accepted, your quote and these terms together form the contract between us. They replace any earlier discussions, representations or agreements about the same work.
3. Quotes and pricing
3.1 Our prices are set out in your quote or proposal. Quotes are valid for 30 days from the date we send them. After that, we may revise or withdraw the quote.
3.2 Quotes are based on the scope we’ve agreed. Work outside that scope, including extra pages, features, revision rounds or content, will be quoted separately or charged at the hourly rate stated in your quote.
3.3 We’re not currently VAT registered, so no VAT is charged on our invoices. If we register for VAT in future, it will be added at the current rate from the date of registration, and we’ll tell you in advance.
3.4 Third-party costs, such as premium plugins, themes, fonts, stock imagery, printing, postage and advertising spend, are charged in addition unless your quote says they’re included. We’ll agree these with you before buying anything on your behalf.
4. Payment
4.1 Website and other project work.
Unless your quote says otherwise, we invoice in three stages:
4.2 Retainers (SEO, social media, paid advertising management, care plans) are invoiced monthly in advance.
4.3 Design and print orders are paid in full before files go to print, unless agreed otherwise.
4.4 Invoices are due within 7 days of the invoice date unless the invoice states otherwise. We accept bank transfer and the payment methods listed on your invoice.
4.5 Late payment. If you’re a business, we may charge statutory interest and fixed compensation on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998, plus any reasonable costs of recovering the debt, including collection agency and legal fees.
4.6 If an invoice is more than 14 days overdue, we may pause work, suspend hosting or other services, and withhold deliverables until it’s paid. We’ll give you written notice before doing so. Suspension doesn’t cancel what you owe.
5. Your responsibilities
5.1 You’ll give us one main point of contact who can make decisions and approve work.
5.2 You’ll supply the content, information, images, logins and approvals we need, in the format we ask for, by the dates we agree. For SEO projects, we need this early so the content can be planned properly.
5.3 You confirm that you own, or have permission to use, everything you supply to us, and that it’s accurate, lawful and doesn’t infringe anyone else’s rights.
5.4 We schedule work in advance and turn down other work to hold your slot. If the project stalls because something we need from you hasn’t arrived:
A closed project can be restarted, but may need re-scheduling and re-quoting.
6. Approvals and revisions
6.1 We’ll share work with you for review at the stages set out in your quote. Each stage includes the number of revision rounds stated in the quote. Further revisions are charged at our hourly rate.
6.2 Once you’ve approved a stage, later changes to it may be charged as extra work.
6.3 When we hand over the finished work, it’s treated as accepted unless you tell us otherwise in writing within 10 days.
6.4 You’re responsible for checking everything we send for approval, including spelling, prices, contact details and legal wording. We’re not responsible for errors you’ve approved.
7. Timescales
7.1 We’ll aim to deliver by the dates in your quote or agreed once your deposit is paid. These are estimates, not guarantees, and depend on you providing what we need on time.
7.2 If we expect a delay on our side, we’ll tell you as soon as we know and agree a revised date.
8. Intellectual property
8.1 You keep ownership of everything you supply to us. You give us permission to use it for the purpose of delivering the Services.
8.2 Once you’ve paid in full, ownership of the final deliverables we create specifically for you, including designs, logos and website content, transfers to you.
8.3 Some elements are licensed rather than owned, such as WordPress, Elementor, themes, plugins, fonts and stock images. These remain subject to their own licence terms, and some need annual renewal.
8.4 We keep ownership of our own tools, templates, code libraries and know-how that existed before your project or that we use across clients. You receive a licence to use them as part of your deliverables.
8.5 Draft designs and concepts you didn’t choose remain ours.
8.6 Unless you ask us not to, we may show your project in our portfolio, case studies and marketing. We may also include a small “website by Seven Branded” credit in your website footer, which we’ll remove free of charge on request.
9. Website design and development
9.1 We build websites to work on current versions of the major browsers (Chrome, Safari, Edge and Firefox) and on common mobile and tablet screen sizes at the time of launch. We can’t guarantee how a site will behave in browsers, devices or software versions released after handover. Updating a site for these is quoted as extra work.
9.2 If your site is going on hosting we don’t manage, you’ll give us the access we need, such as hosting control panel, SFTP, database and domain DNS access, for the duration of the project.
9.3 Once the site is handed over, we’re not responsible for problems caused by changes made by you or anyone else, or by updates to WordPress, plugins, themes or hosting that we don’t manage.
9.4 Ongoing updates, security patches, backups and content changes aren’t included after launch unless you’re on one of our care plans. Ad hoc content updates are charged at our hourly rate.
9.5 We’ll build your site with sound technical SEO foundations, but a website project on its own doesn’t include ongoing SEO or guarantee search rankings.
10. Hosting, domains and care plans
10.1 Hosting, email and care plans run on a rolling monthly or annual subscription, as stated in your quote, and renew automatically until cancelled. We’ll tell you before you buy anything that auto-renews.
10.2 Either of us can cancel a subscription by giving 30 days’ written notice, or notice before the renewal date for annual plans. Annual fees already paid aren’t refunded part-way through a term.
10.3 Where possible, we register domain names in your name. Renewal fees are your responsibility. We’ll remind you before renewal, but we’re not liable if a domain lapses because a renewal wasn’t paid.
10.4 We take regular backups of sites we host, but you should keep your own copies of anything important. We’re not liable for loss of data except where caused by our negligence, and then only within the limits in section 17.
10.5 You must use our hosting lawfully and not for spam, malware, illegal content or anything that puts our servers or other clients at risk. We may suspend any site that does, without notice where the risk is urgent.
10.6 If you leave, and your account is paid up, we’ll provide your website files, database and a reasonable level of help moving to a new provider. Extensive migration work is charged at our hourly rate.
10.7 If hosting is suspended for non-payment for more than 30 days, we may remove your site and data from our servers after giving you written notice. Removal doesn’t cancel any amount owed.
11. Search engine optimisation (SEO)
11.1 No one controls Google or other search engines. We’ll use proven, ethical methods to improve your visibility, but we can’t guarantee specific rankings, traffic, enquiries or results within any timeframe.
11.2 SEO retainers have a minimum term of 3 months, then continue on a rolling monthly basis until either of us gives 30 days’ written notice.
11.3 SEO results depend on things outside our control, including search engine algorithm updates, competitor activity, your website’s hosting and technical health, and changes made to the site by others.
11.4 You’ll give us access to the accounts we need, such as Google Search Console, Google Analytics and your Google Business Profile. These accounts stay in your ownership.
11.5 Content we write for your site goes live once you approve it, or after 10 days if we’ve agreed in advance that unreviewed content can be published.
12. Social media content
12.1 Our social media service covers content creation and scheduling as set out in your package: posts, graphics and captions. It doesn’t include community management, such as replying to comments, messages or reviews, unless your quote says so.
12.2 Social media retainers have a minimum term of 3 months, then continue on a rolling monthly basis until either of us gives 30 days’ written notice.
12.3 We’ll share content for approval before it’s published. If we don’t receive approval or feedback by the agreed deadline, the schedule for that period may slip, and unused content doesn’t carry over unless we agree otherwise.
12.4 Your social media accounts remain yours. You’re responsible for complying with each platform’s terms. We’re not liable for account restrictions, reach changes or removals decided by the platforms.
13. Paid advertising
13.1 Our management fee covers planning, setting up, running and reporting on your campaigns. Advertising spend is separate and is paid by you directly to the platform, such as Google or Meta, unless we agree otherwise in writing.
13.2 Ad accounts are set up in your name, or you grant us access to your existing accounts. You keep ownership of them and their data.
13.3 We can’t guarantee clicks, leads, sales or return on ad spend. Platforms can change costs, rules and approvals at any time.
13.4 You’re responsible for making sure your products, services, offers and claims are lawful and accurate. We’ll flag anything we believe breaks platform policies or advertising rules, but final responsibility for your claims rests with you.
13.5 Paid advertising retainers follow the minimum term and notice period stated in your quote.
14. Branding
14.1 Branding projects include the concepts, revision rounds and final files set out in your quote.
14.2 Once you’ve paid in full, you own the final approved logo and identity files, as set out in section 8.
14.3 We’ll create original work, but we don’t carry out formal trade mark searches. If you plan to register a trade mark, you should take advice from a trade mark attorney before relying on the design.
15. Design and print
15.1 We’ll send you a proof of every item before it goes to print. You’re responsible for checking it carefully. Once you approve a proof, we’re not liable for errors in it, including spelling, prices, dates and contact details.
15.2 Additional proofs needed because of changes you request after approving the brief may be charged. Where we were given creative freedom over style, layout or type, later changes to that may be charged on a time basis.
15.3 Colours vary between screens, printers, paper stocks and print runs. We’ll get as close as the process allows, but we can’t guarantee an exact match to your screen, an earlier print run or a sample you’ve supplied.
15.4 In line with standard print trade practice, delivered quantities may vary by up to 5% above or below the quantity ordered, and will be invoiced accordingly.
15.5 Print is produced to order. Once a job has gone to print it can’t be cancelled or refunded, unless the item is faulty or doesn’t match the approved proof.
15.6 Delivery dates from print and courier partners are estimates. We’ll chase on your behalf, but we’re not liable for delays caused by them.
16. Cancellation and termination
16.1 You can cancel a project by giving us written notice. Email counts as written notice and takes effect when we receive it. You’ll pay for all work completed up to that point and any third-party costs already committed, invoiced for payment within 14 days. Deposits cover scheduling and early-stage work and are non-refundable once work has started.
16.2 Retainers can be cancelled after their minimum term by giving 30 days’ written notice.
16.3 We may end the contract immediately by written notice if you fail to pay an invoice more than 30 days overdue, seriously breach these terms, become insolvent, or behave abusively towards our team.
16.4 If you’re a consumer buying for personal rather than business use, you may have a legal right to cancel within 14 days of agreeing the contract. If you ask us to start work within those 14 days, you’ll pay for the work done up to the point you cancel. This doesn’t affect your other statutory rights.
16.5 Sections that by their nature should continue after the contract ends, including payment, intellectual property, liability and confidentiality, will continue to apply.
17. Liability
17.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that can’t legally be limited.
17.2 We’re not liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill, opportunity or data, however it arises.
17.3 We’re not liable for loss caused by things outside our reasonable control, by third-party platforms, plugins or suppliers, or by information, content or instructions you provide.
17.4 Our total liability to you under or in connection with any contract is limited to the fees you paid us for the Service concerned in the 12 months before the claim arose.
17.5 If you’re a consumer, we’re responsible for loss you suffer that is a foreseeable result of our breach of these terms or our negligence. We don’t limit your statutory rights.
18. Confidentiality
We’ll each keep the other’s confidential business information private and only use it to carry out the contract. This doesn’t apply to information that’s already public, that we receive lawfully from someone else, or that we must disclose by law.
19. Data protection
19.1 We’ll each comply with UK data protection law, including the UK GDPR and the Data Protection Act 2018.
19.2 Where we handle personal data on your behalf, for example through hosting, website forms, mailing lists or ad audiences, we act as your processor. We’ll only process that data on your instructions, keep it secure, use sub-processors bound by equivalent obligations, and help you meet your obligations where reasonable.
19.3 You’re responsible for having a lawful basis for any personal data you ask us to use, and for your website’s privacy and cookie notices.
19.4 How we handle your own personal data is explained in our privacy policy at https://www.sevenbranded.com/privacy-policy.
20. Indemnity
You agree to cover any claims, losses and reasonable costs we incur because of content, materials or instructions you supplied, including claims that they infringe someone else’s rights or break the law.
21. Events outside our control
Neither of us is liable for delays or failures caused by events beyond reasonable control, such as power or internet outages, cyber attacks on third-party services, supplier failures, extreme weather or illness. If such an event lasts more than 60 days, either of us may end the contract by written notice.
22. General
22.1 We may use trusted subcontractors and partners to deliver parts of the Services. We remain responsible for their work.
22.2 We may update these terms from time to time. The version in force when you accept your quote applies to that project. For retainers, we’ll give you 30 days’ notice of any material change.
22.3 If any part of these terms is found to be invalid or unenforceable, the rest remains in force, and the affected part will be read as closely to its original intent as the law allows.
22.4 If we don’t enforce a right straight away, we can still enforce it later.
22.5 No one other than you and us has any right to enforce these terms.
22.6 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
